Expert Group on Reforming Disclosure Requirements for Capital Companies

Mission

The Group’s mission is to develop some procedures for capital groups to pass on the information to partners and shareholders, notably those partners and majority shareholders and state-owned capital companies and their links to any bodies authorized to exercise rights from state-owned shares.

Konrad Zawodziński

Master’s Degree in Law, University of Łódź. A graduate of International Economic Relations, Warsaw School of Economics and King’s College London (Diploma in EU Competition Law). He completed legal attorney apprenticeship, courses, and training schemes in project management (Prince), compliance policies (International Compliance Association), competition law (Academy of European Law, London School of Economics), and international law and arbitration (Centre of International Law, National University of Singapore). He graduated from postgraduate studies in European Union law at the University of Warsaw. He serves as a director of legal, corporate and personnel affairs in an energy trading company. An experienced member of supervisory boards.

Jakub Modrzejewski

Legal adviser and a graduate magna cum laude in Law from the University of Warsaw. Long-standing senior manager in charge of management process in publicly held companies and financial businesses. Specialist in corporate law, capital market law, and corporate governance. He serves as the Director of the Capital Group of Polish Oil Corporation Orlen S.A. and the President of the Council at the Warsaw Stock Exchange. In the past he worked as Deputy Director of the State Treasure Department in the Chancellery of the Prime Minister, Director of Department for Supervised and Subordinate Units at the Ministry of Development, Member of the Supervisory Board of Bank Gospodarstwa Krajowego, legal adviser at the Legal Department of PKO Bank Polski S.A. and legal specialist in the Legal Department of Pioneer Pekao Investment Fund Company.

Rafał Roszkowski

Attorney and founding partner of the GKR Legal Law Firm. In the past he served as a legal director in Poland’s leading company FMCG. Member of supervisory boards of energy, defense, insurance, and fintech industry companies. Arbitrator at the Lewiatan Court of Arbitration in Warsaw, Poland. Specialist in commercial law, notably new technologies, copyright, and trade law. He has many years of expertise in transaction handling and corporate affairs.

Marek Wodnicki

A graduate of Law from the Faculty of Law and Administration, University of Warsaw, and Postgraduate Tax Studies at the Warsaw School of Economics. He completed judge’s training period at the Provincial Court in Warsaw and legal adviser apprenticeship at the District Chamber of Legal Advisers in Warsaw. He has served as a legal adviser since 1995. He also worked for the Provincial Court in Warsaw and the Ministry of Finance. He has worked for the Warsaw Stock Exchange since 1995, currently in charge of the Legal Department. Member of the Supervisory Board of the Commodity Clearing House, BondSpot S.A., WSE InfoEngine S.A. He now works as board secretary at the Polish Power Exchange. In 1997–2016 he served as judge at the Stock Exchange Court at the Warsaw Stock Exchange. In 1997–2004 he was Vice-President of the Stock Exchange Court. In 2013–2016 he served as a judge of the Arbitration Court at the National Depository for Securities, reappointed in 2019. Lecturer in capital market law at Postgraduate Studies in Companies at the Warsaw School of Economics. Specialist in corporate affairs in capital companies, including disclosure requirements for publicly held corporations. He helped create NewConnect and Catalyst markets, grant public status to the Warsaw Stock Exchange and issue public bonds.

Tobiasz Szychowski

A graduate of the Faculty of Law and Administration, University of Łódź, and the German Law School, Wilhelm University in Münster. Attorney, member of the Bar Association in Łódź, Poland. He has gained professional experience in Poland’s biggest law firms, notably as the head of department of litigation and alternative dispute resolution in one of Poland’s most renowned law firms. He was appointed Deputy Director of the Legal and Compliance Department at the Polish Oil and Gas Company (PGNiG S.A.), in charge of international projects and developing the company’s operations at home and abroad. Recommended in Legal 500 Guides 2013, 2014, and 2015 in Court Litigation and Arbitration. Chairman of the Economic Mediation Center at the the Chamber of Natural Gas Industry (since 2017). In 2019 he was included in the General Counsel Powerlist Central and Eastern Europe 2019. He has many years of expertise as a member of supervisory boards.

Bartłomiej Dziliński

Legal adviser at the District Chamber of Legal Advisers in Warsaw, graduate of the Faculty of Law and Administration, University of Warsaw, and the American Law School, University of Florida Frederic G. Levin College of Law. He attended the doctoral seminar at the Faculty of Law and Administration, University of Warsaw, and postgraduate studies in data protection at the Faculty of Law and Administration, Cardinal Stefan Wyszyński University, Warsaw. Author of publications in civil and administrative law, co-author of studies in labor and social security law. He served a legislation expert in the Bureau of Research at the Chancellery of the Sejm. He has worked for energy companies since 2013, notably as a legal adviser and manager.

Filip Ostrowski, Ph.D.

Ph.D. in Law. He holds Master’s Degree and Ph.D. in Law from the Jagiellonian University. A graduate of Law and Management, University of Aberdeen (United Kingdom). He gained professional experience in an international law desk in Warsaw and then as a manager in the Polish Oil and Gas Company. He now serves as Director of the Bureau for the Reform of Ownership Supervision at the Ministry of State Assets. He has an extensive experience in being a member of supervisory boards. Author of publications in company law and sector regulations.

Deputy Director of Bureau for Reform of Ownership Supervisory at the Ministry of State Assets. Member of the Supervisory Board of PKP Cargo. A graduate from the Faculty of Political Science and International Studies, University of Warsaw. A graduate of Economics, Warsaw School of Economics. In the past, she worked for the Polish Institute of International Affairs (PISM) and Polish energy businesses.
