Expert Group on Corporation Law

Mission

The Group’s mission is to develop comprehensive solutions for corporate law. The aim of these regulations to define rules for contractural and actual corporations.

Chaiman

Andrzej Szumański, Ph.D.

Professor, head of the Department of Private Economic Law at the Jagiellonian University, lawyer. He co-authored the Draft law on the Commercial Companies Code (2000) and the 1999 Offset Law. Arbitrator and member of the Arbitration Council at the Court of Arbitration, Polish Chamber of Commerce in Warsaw, President of the Stock Exchange Court at the Warsaw Stock Exchange. He has participated in many restructuring and privatization projects and served on numerous supervisory boards. He is an author of textbooks and commentaries on corporate and securities law. In 2005–2013 he was a member of the UNCITRAL in charge of developing Arbitration and Transparency Rules for investment arbitration procedures.

Radosław L. Kwaśnicki, Ph.D.

Managing partner at RKKW – Kwaśnicki, Wróbel & Partners Law Firm; Ph.D in Law, Graduate of AMP and Value Creation Through Effective Boards. Arbitrator in national and international bodies (Court of Arbitration at the Polish Chamber of Commerce, Court of Arbitration at the Polish Confederation of Private Employers Lewiatan, ICC International Court of Arbitration, Paris). Board member in domestic and foreign companies; he served as Member of the Supervisory Board of PKN Orlen S.A. (2014–2019). Author of more than 500 publications (see the list). Member of the Program Committee in “Monitor Prawa Handlowego.” President of the Board of the Foundation “Jesteśmy Razem. Pomagamy”, Founder and Chairman of Nova Ars Poloniae Foundation. Editor-in-chief at Prawo Biznesu – Law in Action.

Rafał Kos, Ph.D.

Social Adviser to the President of the Republic of Poland. Attorney, Ph.D. in Law (Jagiellonian University, Poland). A graduate of International Economic Law from UC Davies (California, USA) and postgraduate studies in U.S. Economic Law, CUA Columbus School of Law (Washington, DC). Vice-President of the Arbitration Court at the Polish Confederation Lewiatan, Warsaw. Member of the Arbitration Committee at the Supreme Bar Council and the Board of Visitors CUA Law. Member of the Justice and Human Rights Committee at the Sejm (Act of 2009 on claims in group proceedings), Member of the Group on Amendments to Bankruptcy Law to the Minister of Justice (2012), Group on Systemic Solutions for Amicable Resolution of Economic Disputes to the Minister of Economy (2013), and the Group on Economic Law to the Minister of Economy (2015).

Paweł Błaszczyk, Ph.D.

Ph.D. in Law, attorney, legal adviser. Partner at Błaszczyk i Partnerzy Law Firm in Warsaw. Author of publications in company law, company groups, and minority shareholders. Specialist in economic law and corporate governance. Lecturer at Postgraduate Studies in Company Law, University of Warsaw.

Mirosław Cejmer, Ph.D.

Partner at Kubas Kot Gałkowski Law Firm. A graduate of Comparative Law Studies at the Rhenish Friedrich Wilhelm University of Bonn. Former member of the task force for the Civil Law Codification Committee in charge of provisions on representation in the Civil Code. Author of articles and publications on company law in domestic and foreign reviews and papers on European Company Law. Guest speaker at conferences ad seminars on company law and the European Private Company (at the invitation of the European Commission, the French Ministry of Justice, and European economic institutions).

Jakub Modrzejewski

Legal adviser and a graduate magna cum laude in Law from the University of Warsaw. Long-standing senior manager in charge of management process in publicly held companies and financial businesses. Specialist in corporate law, capital market law, and corporate governance. He serves as the Director of the Capital Group of Polish Oil Corporation Orlen S.A. and the President of the Council at the Warsaw Stock Exchange. In the past he worked as Deputy Director of the State Treasure Department in the Chancellery of the Prime Minister, Director of Department for Supervised and Subordinate Units at the Ministry of Development, Member of the Supervisory Board of Bank Gospodarstwa Krajowego, legal adviser at the Legal Department of PKO Bank Polski S.A. and legal specialist in the Legal Department of Pioneer Pekao Investment Fund Company.

Joanna Chmielińska

Head of the Law Department for Business at Kopeć Zaborowski Law Firm. He has ten years of expertise in providing services for business in drafting contracts and handling corporate and strategic consulting services. He specialises in planning and executing company transactions. A graduate of the Faculty of Law and Administration, Master’s Degree in Law (LL.M) from the Pompeu Fabra University, Barcelona. Member of the Bar Association in Warsaw. Author of publications in capital market law and commercial companies. Editor at www.managerwspolce.pl She has been an active member of social and student initiatives. In 2018–2010 she was a member of the Legal Information Clinic at the University of Warsaw. Arbitrator in MOOT competition at the University of Warsaw.

Karol Szymański

Member of the Management Board of RKKW – Kwaśnicki, Wróbel & Partners Law Firm. Member of the Supervisory Board of Drutex Okna S.A. and Kredyt Inkado S.A. He served as interim manager in a leading company in the human resources capital group. Author and co-author of publication on economic law, notably capital market law.

Mateusz Berger

Vice-President of the Management Board of the Industrial Development Agency, attorney, graduate of the Faculty of Law and Administration, University of Warsaw. He worked as a lawyer for a Warsaw-based law firm and the Legal Department of Bank PKO BP. He was in charge of the Department of Supervised and Subordinate Units in the Ministry of Development and the State Treasury Department in the Chancellery of the Prime Minister. In May 2017–April 2020, he was a member of the Supervisory Board of the Industrial Development Agency.

Dominik Kaczmarski

Director of the Department of Analyses and Reporting at Ministry of State Assets, Master’s Degree in Law, University of Warsaw. He is a licensed tax advisor. He has gained professional experience in the world’s leading consulting corporations: PwC (2012–2014) and Deloitte (2014–2016) as an expert in financial sector taxation. He served as Deputy Director of the Sectoral, Local and Gambling Taxes Department (February 2016–January 2020) before being appointed Deputy Director and then Director of the Tax System Department. He took part in efforts on tightening control over corporate and value added taxation (CIT/VAT). He has served as Secretary of the Council for the Prevention of Tax Avoidance, Member of the State Board of Tax Advisory Examiners and Member of the General Tax Law Codification Committee. Since this July, he has served as Chairman of the Supervisory Board of the Warsaw Stock Exchange.

Janusz Szurski

Director of the Legal Department at PKN Orlen S.A., Chairman of the Supervisory Board of Anwil S.A., Chairman of the Supervisory Board of Energy-Operator S.A., Vice- Chairman of the Supervisory Board of Unipetrol Group. Formerly in charge of the Legal Department at Energy Group and the Legal Service and Public Procurement Department at the Agency for Restructuring and Modernisation of Agriculture, ARMA. A graduate of Law, University of Warsaw.

Filip Ostrowski, Ph.D.

Ph.D. in Law. He holds Master’s Degree and Ph.D. in Law from the Jagiellonian University. A graduate of Law and Management, University of Aberdeen (United Kingdom). He gained professional experience in an international law desk in Warsaw and then as a manager in the Polish Oil and Gas Company. He now serves as Director of the Bureau for the Reform of Ownership Supervision at the Ministry of State Assets. He has an extensive experience in being a member of supervisory boards. Author of publications in company law and sector regulations.

Izabela Wojtyczka

Deputy Director of Bureau for Reform of Ownership Supervisory at the Ministry of State Assets. Member of the Supervisory Board of PKP Cargo. A graduate from the Faculty of Political Science and International Studies, University of Warsaw. A graduate of Economics, Warsaw School of Economics. In the past, she worked for the Polish Institute of International Affairs (PISM) and Polish energy businesses.
